Termos de Venda

1. General Terms

These Terms of Sale ("Terms") govern all sales of products by Aceros y Suministros, S.L. ("Aceros y Suministros", "Seller", "we", "us") to the purchaser ("Buyer", "Customer", "you"). By placing an order, you agree to be bound by these Terms. These Terms supersede any conflicting terms in Buyer's purchase orders unless expressly agreed in writing by Aceros y Suministros.

2. Quotations & Orders

2.1 Quotations

• Quotations are valid for30 daysfrom the date of issue unless otherwise specified
• Quotations are subject to availability of materials and manufacturing capacity
• Prices quoted are based on current material costs and may be adjusted for orders placed after validity period
• Quotations do not constitute a binding offer until order confirmation is issued by Aceros y Suministros

2.2 Order Acceptance

• Orders are considered accepted only upon issuance of written order confirmation by Aceros y Suministros
• Aceros y Suministros reserves the right to reject any order for any reason
• Order modifications must be requested in writing and are subject to Aceros y Suministros approval and potential price adjustment

3. Prices & Payment

3.1 Pricing

• All prices are quoted ineuros (EUR)unless otherwise specified
• Prices areEx-Works (EXW) Sodupe, España unless otherwise stated (Incoterms 2020)
• Prices do not include shipping, insurance, duties, taxes, or other charges unless explicitly included
• Minimum order values may apply for certain product categories

3.2 Payment Terms

• New Customers:30% deposit upon order confirmation, 70% balance before shipment
• Established Customers:Payment terms to be agreed based on credit assessment
• Accepted Methods:Wire Transfer (T/T), Letter of Credit (L/C at sight)
• Currency:Euro; other currencies by arrangement with exchange rate adjustment

3.3 Late Payment

Late payments accrue the interest provided for in Spanish Law 3/2004 on combating late payment in commercial transactions. Aceros y Suministros reserves the right to suspend production or withhold shipment for overdue accounts. Recovery costs are borne by the Buyer under the terms of that law.

4. Delivery & Shipping

4.1 Lead Times

• Standard Parts:2-4 weeks from order confirmation
• Custom/Made-to-Order:4-8 weeks depending on complexity and quantity
• Rush Orders:Expedited production available at additional cost
• Lead times are estimates and not guaranteed. Aceros y Suministros will communicate any delays promptly

4.2 Shipping Terms

• Default shipping term isEx-Works (EXW) Sodupe, Bizkaiaunless otherwise agreed
• Other Incoterms (CIF, CFR, DDP, etc.) available upon request
• Buyer is responsible for import duties, taxes, and customs clearance unless DDP terms apply
• Aceros y Suministros will provide all required export documentation including commercial invoices, packing lists, and certificates of origin

4.3 Risk of Loss

Risk of loss passes to Buyer in accordance with the applicable Incoterms. For FOB shipments, risk transfers when goods are loaded on the vessel. Buyer should arrange appropriate cargo insurance.

5. Quality & Specifications

5.1 Quality Standards

• All products manufactured under ISO 9001:2015 certified quality management system
• Material composition certified by chemical analysis
• Hardness testing performed on all heat-treated components
• Dimensional inspection to drawing tolerances

5.2 Documentation

Upon request, Aceros y Suministros provides: Material Test Reports (MTR), Hardness Test Reports, Dimensional Inspection Reports, and Certificates of Conformance. Third-party inspection can be arranged at Buyer's expense.

5.3 Tolerances

Standard casting tolerances apply unless tighter tolerances are specified in the order. Weight tolerances are typically ±5% unless otherwise agreed. Minor surface imperfections inherent to the casting process are not grounds for rejection.

6. Warranty

6.1 Limited Warranty

Aceros y Suministros warrants that products will be free from defects in materials and workmanship for a period of12 monthsfrom date of shipment or6 monthsfrom installation, whichever occurs first.

6.2 Warranty Exclusions

This warranty does not cover:

• Normal wear and tear
• Damage from improper installation, operation, or maintenance
• Damage from operation beyond design parameters
• Damage from processing tramp metal, explosives, or other damaging materials
• Products modified without Aceros y Suministros authorization
• Consequential, incidental, or indirect damages

6.3 Warranty Claims

To make a warranty claim, Buyer must notify Aceros y Suministros in writing within 30 days of discovering the defect, provide photographic evidence, and return the defective part if requested (at Aceros y Suministros' expense for valid claims). Aceros y Suministros' sole obligation is to repair, replace, or credit the purchase price at Aceros y Suministros' discretion.

7. Returns & Cancellations

7.1 Cancellations

• Orders cancelled before production: No charge
• Orders cancelled during production: Buyer responsible for costs incurred
• Custom/made-to-order items: Non-cancellable once production begins

7.2 Returns

• Returns require prior written authorization (RMA number)
• Standard stock items may be returned within 30 days in original condition
• Restocking fee of 15-25% may apply to non-defective returns
• Custom and made-to-order items are non-returnable
• Buyer responsible for return shipping costs unless return is due to Aceros y Suministros error

8. Intellectual Property

Aceros y Suministros manufactures aftermarket replacement parts. All OEM brand names, model numbers, and part numbers referenced are trademarks of their respective owners and are used solely for identification purposes. Aceros y Suministros products are not genuine OEM parts unless specifically stated. Buyer agrees not to resell Aceros y Suministros products as genuine OEM parts.

9. Limitation of Liability

IN NO EVENT SHALL Aceros y Suministros BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, PRODUCTION DOWNTIME, OR EQUIPMENT DAMAGE, ARISING FROM THE USE OR INABILITY TO USE Aceros y Suministros PRODUCTS. Aceros y Suministros' total liability shall not exceed the purchase price of the specific products giving rise to the claim.

10. Force Majeure

Aceros y Suministros shall not be liable for delays or failures in performance resulting from circumstances beyond its reasonable control, including but not limited to: natural disasters, war, terrorism, government actions, labor disputes, pandemic, supply chain disruptions, or shipping delays. Aceros y Suministros will notify Buyer promptly of any such circumstances and work to minimize impact.

11. Confidentiality

Both parties agree to keep confidential any proprietary information exchanged, including drawings, specifications, pricing, and business information. This obligation survives termination of any agreement.

12. Governing Law & Disputes

• These Terms are governed by Spanish law
• Any disputes shall first be attempted to be resolved through good-faith negotiation
• Unresolved disputes shall be submitted to the courts of Bilbao (Bizkaia), Spain, without prejudice to the consumer's right to bring proceedings before the courts of their own domicile

13. Amendments

Aceros y Suministros reserves the right to modify these Terms at any time. The Terms in effect at the time of order confirmation shall apply to that order. Continued business with Aceros y Suministros constitutes acceptance of current Terms.
